Terms of Service

These Terms govern access to and use of SudsConnect, including the marketing suite, public coupon and review pages, SMS workflows, reporting tools, integrations, and related services.

1. Acceptance

By accessing or using SudsConnect, you agree to these Terms. If you use SudsConnect on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the service.

A separate written order, onboarding agreement, statement of work, or platform agreement may apply to a participating business. If there is a conflict, the signed written agreement controls for that business relationship.

2. The Service

SudsConnect provides tools for businesses to view customer data, manage SMS campaigns and automations, track coupon offers, collect and review customer feedback, prepare AI-assisted reports, and view paid advertising performance from supported platforms.

Certain pages, including public coupon links, review forms, login, password reset, privacy policy, and terms pages, may be available without workspace authentication. Business dashboards and management tools require authorized access.

3. Accounts and Authorized Users

  • You must provide accurate account information and keep it current.
  • You are responsible for protecting login credentials and for activity under your account.
  • You may not share access with unauthorized users or attempt to access another business workspace.
  • You must promptly notify SudsConnect if you believe an account, credential, token, or integration has been compromised.

4. Business Responsibilities

Participating businesses are responsible for the customer data, campaign content, coupon terms, review workflows, ad account connections, and messaging instructions they provide or authorize through SudsConnect.

  • You represent that you have the rights and permissions needed to provide customer, membership, visit, redemption, review, advertising, industry-specific, and business data to SudsConnect.
  • You are responsible for providing required notices, obtaining required consents, and honoring privacy, SMS, advertising, consumer protection, coupon, and marketing laws that apply to your business.
  • You are responsible for message templates, campaign timing, offer details, coupon availability, coupon redemption rules, review requests, and any claims made to customers.
  • You must not upload or use information that was obtained unlawfully or that you are not authorized to process.

5. SMS Terms

SudsConnect supports SMS messages for participating businesses. Message frequency varies by campaign, automation, customer action, and business configuration. Message and data rates may apply. SMS delivery is not guaranteed and depends on carriers, providers, customer devices, and compliance controls.

Customers can opt out of SMS marketing by replying STOP, UNSUBSCRIBE, END, QUIT, STOPALL, REVOKE, OPTOUT, or CANCEL. Customers may opt back in by replying START or UNSTOP where supported. Businesses must not attempt to bypass opt-out requests or send messages that violate applicable law or platform rules.

6. Coupon and Review Pages

  • Public coupon links are intended only for the recipient or customer interaction for which they were issued.
  • Coupons may be limited by campaign, location, inventory, time window, customer eligibility, redemption status, and participating business rules.
  • A barcode or manual code may expire after it is viewed, and a coupon page may stop displaying details after the configured active window.
  • SudsConnect may record coupon requests, claims, barcode views, inferred redemption events, and customer reviews for reporting, fraud prevention, business operations, and follow-up workflows.
  • Customer reviews submitted through SudsConnect may be shown to authorized business users. SudsConnect may also display configured external review links and aggregate review information from supported public or authorized sources when available.
  • If a customer or authorized user opens Google review links or other third-party review sites, that third-party service is governed by its own terms and privacy policy.

7. Advertising and Third-Party Integrations

SudsConnect may allow authorized users to connect or enter data for Google Ads, Meta/Facebook Ads, Yelp Ads, Google review or map listings, Twilio, email services, point-of-sale exports, and other third-party systems. You are responsible for complying with each third party's terms, policies, permissions, and data protection requirements.

SudsConnect is not responsible for third-party availability, reporting accuracy, API changes, account suspensions, platform enforcement, carrier filtering, broken links, unavailable public data, or data returned by third-party systems.

8. AI Reports and Analytics

Dashboards, analytics, forecasts, summaries, AI-assisted reports, and recommendations are provided for informational and operational purposes only. They may be incomplete, delayed, or inaccurate. You should verify important information before making business, legal, financial, advertising, or customer-impacting decisions.

9. Acceptable Use

  • Do not use SudsConnect for unlawful, deceptive, abusive, harassing, infringing, or discriminatory activity.
  • Do not send spam, unauthorized marketing, misleading offers, or messages without legally sufficient consent.
  • Do not interfere with, probe, scan, overload, reverse engineer, scrape, or bypass security or access controls.
  • Do not introduce malware, harmful code, unauthorized automation, or data intended to disrupt the service.
  • Do not use SudsConnect to collect or process sensitive information unless you have a lawful basis, required notices, required consents, and written approval where needed.

10. Ownership and License

SudsConnect and its software, designs, workflows, documentation, trademarks, and service content are owned by SudsConnect or its licensors. These Terms do not transfer ownership of SudsConnect intellectual property.

You retain rights to business data, customer data, campaign content, review content, and other content you provide. You grant SudsConnect a limited license to host, process, transmit, display, analyze, and use that content as needed to provide, secure, support, and improve the service and to comply with law.

11. Fees and Payment

Fees, billing, taxes, renewal, cancellation, and payment terms are handled through the applicable onboarding arrangement, order form, invoice, or written agreement. Unless a written agreement states otherwise, fees are non-refundable once services are provided.

12. Suspension and Termination

We may suspend or terminate access if we believe there is unauthorized use, security risk, nonpayment, legal risk, violation of these Terms, violation of third-party platform rules, or misuse of customer data or messaging tools. You may stop using the service at any time, subject to any separate written agreement.

13. Disclaimers

SudsConnect is provided as is and as available. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, message deliverability, ad performance, campaign results, coupon redemption outcomes, and data accuracy.

14. Limitation of Liability

To the maximum extent permitted by law, SudsConnect will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost data, lost goodwill, business interruption, third-party platform actions, carrier filtering, or unauthorized access outside our reasonable control.

To the maximum extent permitted by law, SudsConnect's total liability for all claims relating to the service will not exceed the greater of the amount paid to SudsConnect for the affected service in the three months before the event giving rise to the claim or 100 US dollars.

15. Indemnity

You agree to defend, indemnify, and hold harmless SudsConnect from claims, damages, liabilities, losses, costs, and expenses arising from your data, campaigns, offers, messages, reviews, instructions, third-party integrations, violation of these Terms, violation of law, or violation of another party's rights.

16. Governing Law

Unless a separate written agreement states otherwise, these Terms are governed by the laws of California, without regard to conflict of law rules. Courts located in California will have exclusive jurisdiction for disputes that are not subject to a different written agreement or mandatory legal venue.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and may provide additional notice through the service or other reasonable means. Continued use of SudsConnect after changes become effective means you accept the updated Terms.
